GENERAL TERMS AND CONDITIONS OF SALE
These General Terms and Conditions of Sale (the “Terms”) govern the sale and use of all products and services provided by VG SOLUTIONS LLC through its SonicBook platform. By placing an order, the Client agrees to be bound by these Terms in full.
These Terms are governed by the laws of the State of New Mexico, United States, and by applicable European consumer protection regulations for Clients located in the European Union.
ARTICLE 1 – AGE LIMITATION
VG SOLUTIONS LLC grants access to its digital products and services exclusively to Clients aged 16 years or older.
If a minor user is identified, access will be revoked and a full refund will be issued. The content provided is intended for a mature audience, capable of understanding the professional, ethical, and commercial implications of digital content creation.
ARTICLE 2 – ORDER
Any order placed for a SonicBook product or service constitutes full and unconditional acceptance of these Terms.
Once confirmed, the order is considered final, binding, and non-revocable, subject only to the refund conditions expressly stated herein.
ARTICLE 3 – WAIVER OF WITHDRAWAL RIGHT
In accordance with Article L.221-28 of the French Consumer Code and applicable EU regulations on digital content, the Client expressly agrees to waive the 14-day right of withdrawal upon purchase.
Access to SonicBook services is granted immediately after payment confirmation, and the transaction is considered final once access is provided.
ARTICLE 4 – PRICE
Prices are displayed in the Client’s local currency or, by default, in USD or EUR. Prices may include applicable VAT or sales tax.
VG SOLUTIONS LLC reserves the right to modify its prices at any time. The price applicable is the one displayed at the time of purchase.
ARTICLE 5 – PAYMENT
Payment is due immediately upon ordering and is processed via Stripe, using international credit cards (Visa, Mastercard, etc.). Stripe ensures encryption and transaction security.
One-Click Upsells
For one-click upsells, the Client may be charged automatically after clicking a clearly identified confirmation button (e.g., “Confirm & Pay”), without re-entering payment details. This process complies with EU requirements for explicit payment authorization.
Failed Payments
In the event of a failed payment (insufficient funds, bank refusal, etc.), VG SOLUTIONS LLC may retry the charge within 7 days. The Client may opt out by contacting customer support.
ARTICLE 6 – DELIVERY
Access credentials and usage information are delivered electronically to the email address provided at checkout. The Client is responsible for ensuring the accuracy of this information.
SonicBook relies on third-party infrastructure providers, including Amazon Web Services (AWS), Firebase, and DigitalOcean. VG SOLUTIONS LLC shall not be held liable for temporary service interruptions caused by these providers.
ARTICLE 7 – REFUND POLICY
For security, compliance, and fraud prevention purposes, usage logs and technical access records are automatically stored via Firebase infrastructure.

7.7 Bestseller Factory
Refundable within 30 days only if:
the Client has completed the entire program, and
no financial result greater than $0 USD / €0 EUR has been achieved.
Proof of execution (screenshots or documented actions) may be required.
By accepting these conditions, the Client expressly waives the right of withdrawal.
7.8 Refund Procedure (All Products)

Requests are reviewed within a reasonable timeframe. VG SOLUTIONS LLC reserves the right to deny any request not meeting the stated conditions.
7.9 Non-Refundable Situations
No refunds shall be granted in the following cases:
Products not covered by an explicit written guarantee
Subscriptions already used
Services rendered prior to cancellation
Bankruptcy, force majeure, or permanent shutdown of VG SOLUTIONS LLC
ARTICLE 8 – PERSONAL DATA PROTECTION
Personal data is processed in compliance with the GDPR (EU), CCPA (California), and applicable U.S. privacy laws.
Clients may exercise their rights of access, rectification, deletion, limitation, or portability by contacting contact@sonicbook.ai.
Payments are processed by Stripe, acting as a data processor under GDPR Article 28.

ARTICLE 9 – GOVERNING LAW
These Terms are governed by the laws of the State of New Mexico, United States.
For Clients residing in the European Union, mandatory EU consumer protection laws shall prevail where applicable. These Terms do not deprive EU consumers of their statutory rights.
Disputes may be submitted to confidential arbitration in Albuquerque, New Mexico, except where prohibited by consumer protection laws.
ARTICLE 9 BIS – ALTERNATIVE DISPUTE RESOLUTION (ADR / ODR)

ARTICLE 10 – SERVICE LIMITATIONS
SonicBook relies on third-party APIs and infrastructure (including OpenAI, AWS, Firebase). Interruptions beyond our control do not entitle the Client to compensation.
Use of SonicBook may be restricted or regulated in certain jurisdictions. The Client is solely responsible for ensuring legal compliance in their country of use.
This limitation does not apply in cases of gross negligence, fraud, or proven material breach by VG SOLUTIONS LLC.
ARTICLE 10 BIS – INFORMATIONAL PURPOSE & LIMITATION OF LIABILITY
SonicBook is an AI-assisted digital tool intended to support content creation for professional and informational purposes only.
VG SOLUTIONS LLC makes no guarantees regarding financial outcomes, publishing success, or legal compliance of generated content. The Client bears sole responsibility for verification and use.
ARTICLE 11 – SUSPENSION AND MODERATION
VG SOLUTIONS LLC reserves the right to suspend or restrict access in cases of misuse, unlawful activity, or violation of these Terms.
Prior to permanent suspension, the Client will be notified and may submit written observations within 7 days. Final decisions are at the sole discretion of VG SOLUTIONS LLC.

ARTICLE 13 – INTELLECTUAL PROPERTY
All interfaces, designs, features, and systems of SonicBook are the exclusive property of VG SOLUTIONS LLC and are protected by intellectual property laws.
User-Generated Content Ownership
Content generated via SonicBook remains the exclusive property of the Client, provided it is based on their original input.
The Client is solely responsible for ensuring legality, originality, and compliance with applicable laws (copyright, defamation, publishing rules, etc.).
Prohibited Uses
Users agree not to generate or distribute content that:
incites violence, hatred, or discrimination;
is defamatory, obscene, or illegal;
infringes intellectual property or privacy rights;
violates applicable laws or regulations.
VG SOLUTIONS LLC reserves the right to suspend or terminate accounts in violation of these rules.
By purchasing or using any SonicBook product or service, you acknowledge that you have read, understood, and agreed to these General Terms and Conditions of Sale.
